Really depends on the amount and timing of the sell.
Most execs of large companies announce when and how often they will buy or sell shares just so there is no question on the timing.
My bet is that that is what happened in this case.
It's easy to sue for buying stock that brings you a loss. It's harder to prove.

Ok... that is not what the lawsuit is about. It's a out executives being misleading and not disclosing information about the state of the company during the TNT takeover. Just so its understood, shareholders are the owners of the company.
